1. Who we are
These Terms govern your use of waluhub.com and the services offered on it. In these Terms, "WaLu Hub", "we", "us" and "our" mean:
- Legal status: Sole proprietorship — Warren Jason Petersen, trading as "WaLu Hub".
- Physical address: 29 Annandale Drive, Richwood, Milnerton, Cape Town, Western Cape, 7441, South Africa.
- Email: support@waluhub.com · Website: https://waluhub.com
- Country of establishment: South Africa
By using the site, creating an account, or buying anything from us, you agree to these Terms, our Privacy Policy and our Refund & Cancellation Policy. If you do not agree, please do not use the site.
2. Definitions
- Services — the products and services WaLu Hub offers through the site, which may include: professional/agency services (software design, development and related consulting) delivered under a separate quote or proposal; access to our client portal; and digital products, subscriptions and prepaid credits where we offer them. Not every Service is available at all times.
- Account — the login you create to access the portal or a paid service.
- Order — your request to buy a Service, and our acceptance of it.
- Content — text, data, files, feedback and other material you submit or we generate for you.
3. Eligibility and accounts
(1) You must be at least 18 years old and able to enter into a binding contract.
(2) You are responsible for keeping your login details secure and for all activity under your Account.
(3) You agree the information you give us is accurate and kept up to date.
(4) We may suspend or close an Account that breaches these Terms, on reasonable notice where practicable, or immediately where the breach is serious or unlawful.
4. Orders, quotes and acceptance
(1) Prices and service descriptions on the site or in a proposal are an invitation to do business, not a binding offer.
(2) For professional/agency services, the binding scope, price and timeline are set out in a written quote or proposal we issue and you accept; that document, together with these Terms, forms our agreement. Where they conflict, the signed quote/proposal prevails for that engagement.
(3) For any online purchase, a contract forms only when we confirm your Order. An order-review and confirmation step is provided before payment.
(4) We may decline or cancel an Order (for example on suspected fraud, a pricing error, or acceptable-use breach) and, if you have paid, refund you per the Refund & Cancellation Policy.
5. Prices and payment
(1) Prices are shown in South African Rand (ZAR). WaLu Hub is not VAT-registered, so no VAT is charged.
(2) Online payments are processed by our payment gateway PayFast (Payfast (Pty) Ltd). We do not receive or store your full card details; PayFast handles card data under its own terms and PCI-DSS obligations. By paying online you also accept PayFast's terms.
(3) Professional-services fees are invoiced per the accepted quote/proposal; payment terms are 30 days from invoice date unless the quote says otherwise.
(4) You are responsible for any bank or currency-conversion charges your own provider adds.
6. Acceptable use
You agree not to use the site or Services to:
(1) break any law, or infringe anyone's rights (including intellectual-property or privacy rights);
(2) upload malware, attempt to gain unauthorised access, scrape, overload, or interfere with the site or its security;
(3) submit content that is unlawful, fraudulent, defamatory, or that you have no right to submit;
(4) use the Services for any purpose PayFast's acceptable-use rules prohibit, or in a way that would put our payment facilities at risk; or
(5) misrepresent yourself or use the Services to deceive others.
We may remove content or suspend access if we reasonably believe this clause has been breached.
7. AI-generated output
Some Services use artificial intelligence and automated processing.
(1) AI output can be inaccurate, incomplete or unsuitable for your situation. It is provided as assistance, not as professional (legal, financial, medical or other regulated) advice, and you should use your own judgement and, where appropriate, a qualified professional before relying on it.
(2) You are responsible for how you use any output.
(3) We describe how AI providers process your data in the Privacy Policy. We use reputable AI service providers under data-processing agreements and do not sell your content.
8. Intellectual property
(1) The site, our software, branding and materials are owned by WaLu Hub or our licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable right to use them for their intended purpose while these Terms apply.
(2) Your content stays yours. You grant us the limited licence needed to host, process and deliver the Services to you (including passing content to sub-processors such as hosting and AI providers).
(3) Ownership of deliverables from a professional-services engagement is set out in the relevant quote/proposal.
9. Availability, changes and third parties
(1) We aim to keep the site available but do not guarantee uninterrupted or error-free service, and may perform maintenance or change features.
(2) The site may link to or rely on third-party services (e.g. PayFast, hosting, AI providers). We are not responsible for third-party services, but we choose them with reasonable care and bind them by agreement where they handle your data.
10. Liability
(1) Nothing in these Terms excludes liability that cannot be excluded by law, including under the Consumer Protection Act.
(2) To the fullest extent the law allows, we are not liable for indirect or consequential loss, loss of profit, data or goodwill, and our total liability arising from the Services is limited to the amount you paid us for the Service that gave rise to the claim in the 12 months before the claim.
(3) You use AI output at your own risk as set out in clause 7.
11. Suspension and termination
(1) You may stop using the site at any time and close your Account (see the Refund & Cancellation Policy for what happens to any prepaid amounts or active subscriptions).
(2) We may suspend or end your access for a material breach of these Terms; on termination, clauses meant to survive (payment, IP, liability, governing law) continue.
12. Changes to these Terms
We may update these Terms. We will post the updated version with a new "last updated" date and, for material changes, give reasonable notice (e.g. by email or an in-portal notice) and, where the law requires it, ask you to re-accept. Continued use after the effective date means you accept the change.
13. Governing law and disputes
(1) These Terms are governed by the law of the Republic of South Africa.
(2) Please contact us first at support@waluhub.com so we can try to resolve any complaint.
(3) Nothing here removes your right to refer a consumer complaint to the National Consumer Commission or the relevant ombud, or to a court of competent jurisdiction in South Africa.
